Anna is a senior associate in the corporate and commercial department of Philip Lee. She has recently returned to Philip Lee following two years as Corporate Counsel for a NYSE-listed multinational in the financial services sector.
Anna advises Irish and international clients in corporate, commercial and finance work and in a wide range of transactions including corporate financing, restructurings, share and asset sales and joint ventures. Her work includes advising plc clients in respect of domestic legislation and codes as well as various EU-wide securities law regimes.
Anna has considerable experience in drafting and negotiating various general and bespoke commercial contracts including service contracts, franchise agreements, software licence agreements, due diligence reports, disclosure letters and novation and assignment of contracts.
She is a member of the firm’s Foreign Direct Investment practice and regularly advises companies on establishing business in Ireland, as well as in relation to fundraising and ongoing governance.
Anna has experience advising on data protection and GDPR compliance. She has drafted and negotiated various documents including data processing agreements and fair processing notices; developed GDPR compliance programmes and advised on data breaches and subject access requests.
In corporate governance matters Anna has advised private and semi-state entities from incorporation stage onwards. She has experience in the not-for-profit sector advising NGOs and other entities on incorporation and ongoing governance. Anna acts as trustee and company secretary of Irish Rule of Law International, a development charity sponsored by the Irish legal professions, North and South.
