Jordan is counsel in the Climate Projects practice at Philip Lee (US) LLP, advising clients on the financing, development and commercialisation of emerging climate technologies.

Jordan specialises in supporting climate hardware start-ups and other climate tech ventures as they progress from research and development through to commercial-scale deployment. He advises on SAFE, convertible note, and Series A and later venture capital financings, helping start-ups secure funding to scale their operations. His work also includes structuring R&D agreements, technology transfer arrangements, and joint ventures to accelerate the commercialisation of innovative climate solutions.

In addition to working with startups, Jordan has extensive experience advising project developers and investors on the structuring and financing of engineered carbon dioxide removal projects, as well as regulatory compliance in carbon markets.

Jordan’s background in capital markets, combined with his focus on climate projects and technologies, positions him uniquely to assist clients navigating the intersection of carbon markets, investment strategies, and emerging regulatory frameworks. Prior to joining Philip Lee (US) LLP, he worked at international law firms specialising in capital markets, private equity and corporate transactions. 

Recent Work

  • Advised a venture-backed energy storage start-up in connection with its seed and Series A financings, including negotiating investment terms with VC-led syndicates, structuring convertible note and preferred equity financings, and advising on strategic investor participation.
  • Advised project developers in connection with the development and financing of direct air capture facilities, including joint venture and other shareholder arrangements, debt and equity financings, geologic storage agreements, and prepurchase, offtake and other revenue generating agreements.
  • Advised a software provider on the development and launch of a digital platform to assess investment risks in carbon projects, including drafting and negotiating enterprise-level software licensing, data sharing and customer agreements.
  • Advised a climate tech company developing demand response and virtual power purchase tools on structuring commercial relationships with corporate energy buyers and renewable energy providers, including drafting customer and service provider agreements, software-as-a-service (SaaS) terms, and regulatory risk mitigation strategies.
  • Advised climate start-ups on corporate structuring, founder and other shareholder agreements, venture capital financings, and other corporate and commercial transactions.
