Ryan is a partner in the Climate Projects practice at Philip Lee (US) LLP, specialising in the development and financing of direct air capture (DAC) and other carbon dioxide removal (CDR) projects.

Ryan regularly advises clients on complex commercial transactions for CDR projects located in the U.S. and internationally, including financings, joint ventures, offtakes, and geologic storage agreements. His work spans engineered and nature-based projects, providing strategic legal advice on project structuring and risk mitigation. 

Ryan’s practice integrates sectoral knowledge across key areas such as renewable energy, project finance, and U.S. and international laws applicable to climate projects and carbon markets. His sectoral knowledge and commercial mindset make him a trusted advisor for project developers, funders and other project participants navigating the complexities of climate project development and finance.

Before joining Philip Lee (US) LLP, Ryan co-founded and led a boutique law firm specialising in the financing, development and deployment of climate technologies and worked in the London and New York offices of two leading international law firms as a member of their respective energy and infrastructure teams.

Recent Work

  • Advise funders in connection with the structuring of novel financings for carbon removal and emission reduction projects, including stream financings and portfolio-based investments.
  • Advise leading DAC project developer in connection with the structuring and negotiation of cornerstone buyer offtake agreements for the world’s first cross-technology CDR innovation and commercialisation centre.
  • Advise project developers in connection with the development and financing of DAC facilities, including joint venture and other shareholder arrangements, debt and equity financings, geologic storage agreements, and prepurchase, offtake and other revenue generating agreements.
  • Advise project developers in connection with the development of sustainable grassland management, afforestation and other nature-based carbon projects, including landowner agreements and other carbon rights transfer and commercialisation agreements.
  • Advise project developer in connection with the development and deployment of marine CDR technologies and projects.
